Use of your soundproofing mat, which side is up?

I bought several feet of Super Soundproofing mat.  It's construction is skin one side, textured on the other.  I am wrapping duct work.
1) Which surface of the mat should go against the duct (does it matter)?
2) Is there a particular sound proofing advantage to using contact cement over duct tape?

If thermal insulation is important, put the skin side out.
: 2) Is there a particular sound proofing advantage to using contact cement over duct tape?
Yes, the adhesive forms a more intimate bond with the insulation/pipe, thusly dampening it better.
