Carpeting over vinyl

I am going to use the loaded vinyl overlay as a sound proof barrier for the floor in my daughter's apartment. I have been told by the carpet sales people that the carpet manufacturer may void the guarantee of the carpet because the vinyl plus the padding exceed the recommended layment underneath the carpet.
Can someone please tell me if this is true? And if so, why?

 I am surprised at this: In selling MLV over the last couple of years, I've never heard of this as an issue.  I would contact several other carpet layers- better, contact the manufacturer!  SOunds like someone has some different agenda than giving you good information!
